Aims
This topic aims to:
- Give students an introductory understanding of structures relied upon for commercial activity
- Develop students' understanding of the operation of company law in Australia, with specific reference to:
- Corporate personality
- The incorporation process
- The corporate constitution
- Company relations with outsiders, including company contracts and corporate liability for wrongs
- Administration of companies and management of the business of companies
- Duties and liabilities of directors and officers
- Share capital and membership
- Members' remedies
- Company credit and security arrangements
- Winding up of companies
- Develop students' skills in relation to good drafting of letters of advice
- Develop students' skills in relation to statutory interpretation
- Raise students' ethical awareness of the practice of company law in Australia and be able to detect ethical issues in the context of modern corporate law practice in Australia
